Carpark Licence - Terms and Conditions

These Terms and Conditions apply to the use of any car park provided by CentrePort Limited (the Licensor) to the person accepting these Terms and Conditions (the Licensee) by clicking “Submit” on the carpark request form.

1. Licence

The Licensor grants the Licensee a personal, non-exclusive licence to use an allocated car park for the parking of one registered motor vehicle.

This agreement is a licence only and does not create a lease, tenancy or any other interest in land.

2. Term

The licence operates on a month-to-month basis.

There is no fixed term and no right of renewal.

Either party may terminate the licence at any time, without giving any reason, by giving the other party at least one (1) month’s written notice.

The Licensor may terminate the licence immediately if the Licensee fails to pay any amount when due, breaches these Terms and Conditions, or uses the car park for any unlawful or unauthorised purpose.

On termination, the Licensee must immediately cease using the car park and return any access card or other access device issued by the Licensor.

3. Licence Fee and Variation

The Licensee must pay the licence fee in advance by the due date specified by the Licensor.

Unless otherwise stated, all amounts are exclusive of GST.

The Licensor may vary the licence fee at any time by giving the Licensee not less than one (1) month’s written notice. The varied fee will apply from the date specified in that notice.

The Licensee remains responsible for all fees and other amounts due up to the effective date of termination.

4. Personal Use – No Transfer or Sharing

The licence is personal to the Licensee.

The Licensee must not assign, transfer, sub-license, lend, share or otherwise permit any other person to use the car park.

The Licensee must not sell, transfer or otherwise deal with any access card or access device.

The Licensor may approve a change of vehicle or authorised user at its discretion.

5. Access and Access Card Charges

Access to the car park is controlled by a barrier arm and requires an access card or other access device issued or approved by the Licensor.

The Licensee must:

  • keep the access card secure;
  • not copy, lend or share the access card;
  • immediately notify the Licensor if the access card is lost, stolen or damaged; and
  • return the access card when the licence ends.

The Licensor will charge the Licensee $25 plus GST for the initial issue of an access card.

If an access card is lost or stolen, the Licensor will charge the Licensee $50 plus GST for each replacement access card issued.

The Licensor may deactivate any lost, stolen or replaced access card and may deactivate any access card where the licence has ended or the Licensee is in breach of these Terms and Conditions.

6. Use of the Car Park

The car park may only be used for parking a registered and roadworthy motor vehicle.

The Licensee must:

  • park only within the allocated space (if any);
  • comply with all signage, speed limits and reasonable directions;
  • not obstruct accessways, other vehicles, gates or the barrier arm;
  • not store goods or equipment in the car park;
  • not carry out repairs or servicing in the car park; and
  • not cause nuisance, damage or interference with other users.
7. Allocation and Operational Flexibility

Any allocation of a specific car park space, number or location is not guaranteed as permanent.

The Licensor may, from time to time and on reasonable notice, vary or reassign the allocated car park space.

The Licensee acknowledges that car park configuration, availability and allocation may change due to operational, safety, maintenance, construction or property management requirements, and agrees to comply with any such changes notified by the Licensor.

8. Temporary Closure or Relocation

The Licensor may temporarily close, restrict access to, or relocate the car park where reasonably required for operational, maintenance, safety, construction or other property management purposes.

Where reasonably practicable, the Licensor will provide an alternative parking space during such period.

9. Vehicles and Property at Owner’s Risk

The car park is an outdoor parking area and is not a secure facility.

Vehicles and all property left in them are parked entirely at the Licensee’s risk.

To the maximum extent permitted by law, the Licensor is not liable for any loss, theft or damage to any vehicle or property, except to the extent caused by the Licensor’s negligence or unlawful act.

10. Damage

The Licensee is responsible for any damage caused by the Licensee, the Licensee’s vehicle, or any person using the car park through the Licensee.

The Licensee must pay the reasonable cost of repair of any such damage.

11. Unpaid Amounts and Debt Recovery

If any amount payable is not paid when due, the Licensee is liable for all reasonable costs incurred by the Licensor in recovering the debt, including debt collection agency fees and commissions, legal costs, court fees, and enforcement costs.

The Licensee authorises the Licensor to provide relevant information to debt collection agencies, credit reporting agencies, solicitors, or other parties engaged in debt recovery.

12. Notices

All notices may be given by email to the email address provided by the Licensee.

A notice is deemed received on the day it is sent, unless a delivery failure notification is received.

13. General

The Licensee must promptly notify the Licensor of any change to contact details or vehicle registration details.

No waiver of any breach is a waiver of any subsequent breach.

If any provision is held invalid or unenforceable, the remaining provisions remain in full force.

These Terms and Conditions are governed by the laws of New Zealand.
